TERMS AND CONDITIONS OF THE ONLINE STORE

§ 1 General provisions

These regulations define the rules of using the online store run at http://www.sklepinstanco.pl by Instanco spółka z ograniczoną odpowiedzialnością with its registered office in Poznań.

The following terms have the following meaning (where references to expressions in singular also refer to expressions in plural and vice versa):

2.1 Service Provider – Instanco spółka z ograniczoną odpowiedzialnością with its registered office in Poznań, 61-960 Poznań, ul. Bałtycka 6, entered into the register of entrepreneurs kept by the District Court Poznań- Nowe Miasto and Wilda in Poznań, 8th Commercial Division, under KRS number 0000578176, NIP 782-259-19-47, REGON 362625700. Contact details of the Service Provider: telephone number (+48) 500 217 233, available on business days, i.e. Monday to Friday, from 8.00 a.m. to 4.00 p.m., e-mail address: sale@instanco.com

2.2 User – an entrepreneur within the meaning of the Civil Code Act, i.e. a natural person, a legal person and an organizational unit that is not a legal person, to whom the provisions of the Act grant legal capacity, conducting business or professional activity on their own behalf,

2.3 Online shop – run by the Service Provider at https:// www.sklepinstanco.pl, online shop enabling the purchase of Goods;

2.4 Goods – products of gastronomic equipment, presented at the moment of placing an order in the Online Store, being the subject of sale. Information about the Goods available in the Online Store shall constitute an invitation to conclude an agreement within the meaning of Article 71 of the Civil Code, and shall not constitute an offer within the meaning of the Civil Code,

2.5 Price list – prices of Goods for particular types of Goods,

2.6 Account – a panel assigned to the User for the purposes of registration and access to the Online Store, containing the User’s data, including his/her personal data provided during the Registration process,

2.7 Registration – providing data by the User in order to create an Account necessary to use the Online Store and expressing appropriate consents to use the Online Store,

2.8 Terms and Conditions – these terms and conditions, which also constitute the terms and conditions of providing electronic services within the meaning of Article 8(1)(b) of the Telecommunications Act. 2.8. Regulations – these Regulations, which also constitute the Regulations of providing services by electronic means within the meaning of Article 8 paragraph 1 point 1 of the Act of 18 July 2002 on providing services by electronic means (Journal of Laws of 2002, No. 144, item 1204, as amended).

§ Parties and the subject matter of the sale

1. the Service Provider sells Goods in the Internet Shop via the Internet through the website www.sklepinstanco.pl on the territory of Poland.

The subject of sales contracts concluded in the Online Store are the Goods, marked with the information “Available Product”, subject to the provisions of §4.5 and §4.6.

§ 3 Registration

Registration in the Online Shop takes place by completing the registration form requiring the provision of an e-mail address as a login and password. Registration is tantamount to accepting the Regulations and agreeing to the processing of personal data in order to use the Online Shop. Each person setting up an account undertakes to provide true data, consistent with the actual state of affairs, such as: name and surname, address, company name.

Registration in the Online Shop enables access to the Account and use of the Online Shop, among others, using the functionalities such as individual offer, preview of the history and details of orders, address book and keeping an individual wish list.

§ 4 Ordering

1. the condition for the purchase of Goods via the Online Store is to set up an Account at www.sklepinstanco.pl in accordance with § 3 of the Regulations.

Orders are placed electronically through the Online Shop. The User places an order by selecting the Goods in the Online Shop and clicking the “Add to cart” button.

The basic condition for acceptance and realization of the order is to correctly fill in the order form available in the Online Store and confirm it by clicking the “Order and pay” button.

Confirmation of receipt of the order by the Service Provider is made by the Service Provider by e-mail to the address of the User indicated in the order, no later than the next working day after placing the order. Confirmation of receipt of the order does not yet constitute the conclusion of the contract of sale of Goods.

Within maximum 2 working days from the confirmation of receipt of the order, the Service Provider shall confirm the acceptance of the order for processing and the availability of the Goods and specify the date of its processing.

6th In case of lack of availability of the ordered Goods Service Provider sends to the User by e-mail or presents a proposal for changes in the mode of further implementation of the order (cancellation of the order in part or in full, agreeing on a new date, replacement of unavailable Goods with available). In the event of agreeing on new conditions for the implementation of the order, the Service Provider confirms the acceptance of the order for processing. If the new terms of the order are not agreed upon or if the User does not reply within 3 working days from sending the above mentioned e-mail or attempts to contact us using the telephone number provided during registration in order to agree on new terms of the order, it shall be deemed that the User does not accept the introduced changes and cancels the order.

Upon confirmation of acceptance of the order for execution by the Service Provider in accordance with the provisions of paragraphs 5 or 6, a contract for the sale of Goods shall be concluded.

8th Delivery of ordered Goods takes place through an entity professionally engaged in delivery of parcels. It is possible to collect the ordered Goods at the seat of the Service Provider.

9th Costs of transport and delivery of the Goods are specified in the Online Shop in the section “Delivery/Payments”.

10th For each order is issued a VAT invoice, which is delivered to the User together with the Goods. The User may agree to receive a VAT invoice only in electronic form. In such a case, the issued VAT invoice in electronic form is sent to the e-mail address indicated in the form.

11th Photos of the presented products are for illustrative purposes and may slightly differ from the actual product.
§ 5. Prices

All prices of the Goods are given in Polish zlotys and unless specified otherwise do not include VAT (net prices).

The Service Provider has the right to change the prices in the Price List, but these changes do not apply to orders accepted before the changes.

§ 6. forms of payment

Payment in cash shall be made upon receipt of the Goods and shall be made upon delivery of the consignment or upon personal receipt of the Goods.

2. User making an order may also declare payment in the form of bank transfer.

§ 7 Time of realization of orders

The order shall be executed within the time limit specified in the confirmation of acceptance of the order for execution pursuant to § 4.5. or § 4.6. of the Regulations, subject to the provisions of § 6.3. of the Regulations.

An order shall be deemed to have been placed on a given business day if it has been placed by the User by 3 p.m. on that day. Orders placed on working days after that hour or placed on Saturdays or public holidays shall be deemed to have been placed on the next working day.

The Service Provider shall not be liable for non-delivery or delay in delivery of the ordered Goods resulting from inaccurate or incorrectly given delivery address.

§ 8. withdrawal from the Agreement and return of the Goods

The User has the right to withdraw from the contract of sale of the Goods and return it, at his own expense, within 14 days of receipt of the Goods. It is required to return the Goods in their original undamaged packaging.

2nd The Goods in which, as a result of the User’s intervention, any changes have been made shall not be returned.

3rd Return of the Goods in the event of withdrawal from the contract must take place within a week from the exercise of the right of withdrawal.

4th The return of the paid price will take place within 14 days from the receipt by the Service Provider of the returned Goods. The Parties may agree by phone or e-mail to exchange the Goods for another.
§ 9th Liability of the Service Provider for the Goods on account of the guarantee

The Service Provider shall be responsible for the sold Goods on account of the guarantee on the terms specified in the guarantee document attached to the Goods or at the Goods card at www.sklepinstanco.pl, from which the period and terms of the guarantee shall result.

The User has the right to lodge a complaint regarding the quantity or quality of the Goods. Depending on the decision of the Service Provider, the User is obliged to deliver the Goods at his own expense in original packaging or substitute packaging guaranteeing protection against damage that may affect the consideration of the warranty claim or to make the Goods available at the place of its use to the representative of the Service Provider in order to evaluate and possibly implement the complaint.

In the event of an unjustified complaint, the costs of shipment of the Goods or the costs of a visit by a representative of the Service Provider (lump sum cost 250 PLN net) shall be covered by the User.

To the extent not regulated by the provisions contained in the guarantee document attached to the Goods or placed next to the Goods card on the website www.sklepinstanco.com, the provisions of these Regulations, referred to above, the liability of the Service Provider for the Goods shall be governed by the provisions of the Civil Code Act.

§ 10 User Data

By registering the Account, the User agrees to the processing of personal data by the Service Provider within the meaning of the Personal Data Protection Act of 29 August 1997 (Journal of Laws of 2002, No. 101, item 926, as amended) in order to properly provide the services offered by the Service Provider.

User data are placed in the database of the Service Provider and may be processed by the Service Provider in order to carry out the order and use the Online Shop. Providing data by the User is voluntary.

3. the User, by providing his or her data, confirms their authenticity and truthfulness.

4th Database of Users’ personal data is subject to legal protection. These data are protected and protected against unauthorized access. The administrator of personal data is the Service Provider who processes them in accordance with the provisions of the Act of 29 August 1997 on the Protection of Personal Data (Journal of Laws 1997 No. 133, item 883, as amended).

The User has the right to inspect his personal data and the right to change, correct and demand their removal.

6th Service Provider does not collect personal data other than those provided by the User in the course of Registration, including personal data provided in the course of payment for ordered Goods.

Detailed principles of personal data processing are included in the Security Policy.

§ 11 Newsletter

The Service Provider may provide the User with a service consisting in sending a message containing information about the current offer of the Service Provider, promotions, discounts and rebates (hereinafter: “Newsletter”).

The Newsletter service is free of charge and requires the User’s consent to send commercial information within the meaning of the Telecommunications Act of 16 July 2004. (Journal of Laws No. 171, item 1800, as amended), Personal Data Protection Act of 29 August 1997. (Journal of Laws of 1997 No. 133, item 883, as amended) and the Act on Providing Services by Electronic Means of 18 July 2002. (Journal of Laws of 2002 No. 144, item 1204, as amended).

The consent referred to in paragraph 2 above may be revoked by the User at any time. The consent shall be revoked by marking the appropriate statement within the Account.

§ Article 12 Intellectual Property Rights

All rights, including copyrights and industrial property rights to the Online Store, its individual text and graphic elements, its name, concept, graphic design, logo, layout, software, other technical solutions, database and trademarks are reserved for the Service Provider.

Using the Online Store does not mean that the User acquires any rights to intangible assets for works, databases, programs and trademarks and logotypes contained therein.

The User may use the Online Store within the scope of permitted personal use, determined by the law. In particular, the User may not copy, modify or use any elements of the Online Store, unless it is necessary to use it.

The names of the Goods offered for sale in the Online Store are used for identification purposes, are registered trademarks or unregistered trade marks and are protected under applicable laws, including the provisions of the Industrial Property Law Act of 30 June 2000. „” (Journal of Laws 2001 No. 49, item 508, as amended), Copyright and Related Rights Act of 4 February 1994 (Journal of Laws 1994 No. 24, item 83, as amended), international conventions, the Commercial Companies Code and the Civil Code.
§ 13 Final provisions

The provisions of these Rules of Procedure shall enter into force on 26 October 2015.

The Service Provider reserves the right to change the Regulations, and any changes introduced in it are valid after 7 days from the date of their publication on the www.sklepinstanco.com website. Using the Account is tantamount to accepting the amendments to the Regulations. Orders placed before the entry into force of the new Regulations are carried out in accordance with the Regulations in force on the date of placing the order.

The User undertakes not to disclose or make available to third parties the e-mail address constituting the login and password given during the Registration process.

The Service Provider is not responsible for orders made by third parties using the e-mail address and password of the User without his knowledge or consent.

5th Contract of sale of Goods between the Service Provider and the User is concluded in accordance with the Polish law and in the Polish language.

In matters not regulated by the Regulations, the relevant provisions of the applicable law, including the Civil Code, shall apply.
